Is there any reference in the file to upgrade.cgi ?

There doesn't seem to be any mention of it.

Can you check in your browser what the URL of that 404 not found page is?
from webmin.
The page is /cluster-webmin/upgrade.cgi although I can see it on the filesystem under /usr/libexec/webmin/cluster-webmin/upgrade.cgi
from webmin.
That's odd .. what gets logged to /var/webmin/miniserv.log when you try to access that page?
from webmin.
"POST /cluster-webmin/upgrade.cgi HTTP/1.1" 200 1390
Very odd, this is a screenshot of the page: http://img823.imageshack.us/img823/3033/webminupgrade.jpg
from webmin.
Ok .. so actually you aren't getting an error in your browser, but Webmin
itself is reporting a 404 error when trying to download a file.
What selections did you make on the upgrade form ?

Just the defaults, "Latest version from www.webmin.com" and "Servers to upgrade" as
from webmin.
Ok, that seems reasonable.
Which version of webmin are you running currently?
